We reserve the right to modify, update, or replace these Terms at any time at our sole discretion. Continued use of our Website or services following the posting of any revisions constitutes your acceptance of the modified Terms. 4. Account Registration and Security

Certain features of our Website, including the ability to save favorite orders, track delivery status, and access loyalty rewards, may require you to register for an account. When registering, you agree to provide accurate and complete information and to update such information as necessary to maintain its accuracy.

You are solely responsible for all activity that occurs under your account. You must keep your password confidential and must not share your login credentials with any third party. We are not liable for any loss or damage arising from your failure to maintain the security of your account.

We reserve the right to disable any user account at any time, in our sole discretion, if we believe you have violated any provision of these Terms or if your account activity poses a risk to us, our users, or third parties.

5. Ordering, Pricing, and Payment Terms

5.1 Order Placement and Confirmation

When you place an order through our Website, you are making an offer to purchase the items in your cart. An order confirmation does not constitute acceptance of your offer; acceptance occurs only when your order is confirmed for preparation. We reserve the right to refuse or cancel any order for any reason, including but not limited to product unavailability, errors in pricing, or suspected fraud.

5.2 Pricing

All prices displayed on our Website are in United States Dollars (USD) and are subject to applicable sales taxes as required by federal, state, and local law. Prices are subject to change without notice. In the event of a pricing error, we reserve the right to cancel any orders placed at the incorrect price and will notify you accordingly.

Delivery fees, service charges, and gratuity may apply to certain orders and will be disclosed at checkout prior to the completion of your purchase.

5.3 Payment Methods

We accept payment via major credit cards (Visa, MasterCard, American Express, Discover), debit cards, and such other payment methods as may be made available through our Website from time to time. By submitting your payment information, you represent and warrant that you are authorized to use the designated payment method and authorize us to charge your payment method for the total amount of your order, including taxes and applicable fees.

Payment processing is handled through secure, PCI-DSS compliant third-party payment processors. We do not store your complete payment card information on our servers.

5.4 Refunds and Cancellations

Due to the perishable nature of food products, all sales are generally final once an order has entered preparation. If you experience a quality issue with your order, please contact us at [email protected] within twenty-four (24) hours of receipt, and we will evaluate your concern on a case-by-case basis. Refunds, credits, or replacements are issued at our sole discretion. Applicable consumer protection laws, including those enforced by the Federal Trade Commission under the FTC Act (15 U.S.C. § 45 et seq.), shall not be superseded by this provision.

6. Delivery Terms

Delivery is available within designated service areas only. Estimated delivery times are provided as estimates and are not guaranteed. Actual delivery times may vary due to weather conditions, traffic, order volume, or other circumstances beyond our control. We shall not be liable for any delays in delivery caused by factors outside our reasonable control.

You are responsible for providing an accurate and accessible delivery address. If an order cannot be delivered due to an incorrect address or inaccessible location provided by you, we may not be able to issue a refund for such order.

Risk of loss and title for food products pass to you upon delivery to the address you have specified. If your order is delivered to an unattended location at your direction, you assume all risk associated with such delivery arrangement.

7. Allergen and Nutritional Information

Dewey's Pizza makes reasonable efforts to provide accurate allergen and nutritional information on our Website. However, our products are prepared in kitchen environments where allergens such as wheat, dairy, eggs, nuts, soy, and other common allergens may be present. We cannot guarantee that any of our products are free from cross-contamination.

If you have a food allergy or dietary restriction, we strongly encourage you to contact us directly before placing an order to discuss your specific needs. Dewey's Pizza shall not be liable for any adverse reactions resulting from undisclosed allergens or dietary restrictions that were not communicated to us prior to the preparation of your order.

8. Intellectual Property Rights

All content available on or through our Website, including but not limited to text, graphics, logos, photographs, images, video clips, audio clips, digital downloads, data compilations, menu designs, software, and the overall "look and feel" of the Website (collectively, "Content"), is the exclusive property of Dewey's Pizza or its content suppliers and is protected by United States and international intellectual property laws, including the Copyright Act (17 U.S.C. § 101 et seq.), the Lanham Act (15 U.S.C. § 1051 et seq.), and applicable trade secret laws.

The Dewey's Pizza name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Dewey's Pizza or its affiliates. You may not use such trademarks without the prior written permission of Dewey's Pizza. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Website and its Content solely for your personal, non-commercial use in connection with ordering food and using our services. This license does not include:

  • Any resale or commercial use of the Website or its Content;
  • Any collection and use of product listings, descriptions, or prices;
  • Any derivative use of the Website or its Content;
  • Any downloading or copying of account information for the benefit of another merchant;
  • Any use of data mining, robots, or similar data gathering and extraction tools.

Any unauthorized use terminates the limited license granted herein and may constitute infringement of our intellectual property rights, for which we reserve all legal remedies.

9. User-Generated Content

If our Website permits you to post reviews, comments, ratings, or other content ("User Content"), you grant Dewey's Pizza a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content throughout the world in any media.

You represent and warrant that you own or control all rights to the User Content you post, that the content is accurate, and that use of the content does not violate these Terms or any applicable law. You assume all liability for any User Content you submit.

We reserve the right, but not the obligation, to monitor, edit, or remove any User Content at our sole discretion. We are not responsible for any User Content posted by third parties.

10. Third-Party Links and Services

Our Website may contain links to third-party websites, applications, or services, including third-party delivery platforms, payment processors, and social media channels. These links are provided for your convenience only. We have no control over the content of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them.

When you access third-party websites through our Website, you do so at your own risk and subject to the terms and conditions and privacy policies of those third-party sites. We encourage you to review the terms and privacy policies of any third-party services you access through our Website.

11. Disclaimers — "As-Is" Basis

12. Limitation of Liability

13. Indemnification

You agree to defend, indemnify, and hold harmless Dewey's Pizza and its officers, directors, employees, agents, contractors, licensors, service providers, subcontractors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms of Service;
  • Your use of our Website or services;
  • Your User Content or any content you submit, post, or transmit through our Website;
  • Your violation of any third party's rights, including intellectual property rights or privacy rights;
  • Your violation of any applicable law, rule, or regulation;
  • Any claim that your User Content caused damage to a third party;
  • Any misrepresentation made by you in connection with your use of our services.

We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, at your expense. You agree to cooperate fully with our defense of any such claims. You shall not settle any such claim without our prior written consent.

14. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or related to them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the applicable state laws of the state in which Dewey's Pizza is registered and operates, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of the laws of any other jurisdiction.

Subject to the dispute resolution provisions set forth in Section 15, any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts of competent jurisdiction located in the state of Dewey's Pizza's principal place of business, and you irrevocably consent to the personal jurisdiction and venue therein.

Our services are operated from within the United States. We make no representation that materials on our Website are appropriate or available for use in locations outside the United States. Access to our Website from territories where its contents are illegal is prohibited. If you choose to access our Website from outside the United States, you do so at your own initiative and are solely responsible for compliance with local laws.

These Terms are subject to and shall not supersede applicable federal consumer protection laws, including those enforced by the Federal Trade Commission under the FTC Act (15 U.S.C. § 45 et seq.), or any other applicable federal statute that provides protections that cannot be waived by contract.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at [email protected] and attempt to resolve the dispute informally. We will use reasonable efforts to resolve the dispute within thirty (30) days of receiving your written notice describing the nature of the dispute and the relief you are seeking.

15.2 Binding Arbitration

If we are unable to resolve the dispute informally within the thirty (30) day period, you and Dewey's Pizza agree to resolve any and all disputes, claims, or controversies arising out of or relating to these Terms, our Website, or our services through binding individual arbitration, rather than in court, except as set forth in Section 15.4 below.

The arbitration shall be conducted by a nationally recognized arbitration organization under its then-current applicable rules. The arbitration shall be conducted in the English language. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of this arbitration provision.

15.3 Class Action Waiver

YOU AND DEWEY'S PIZZA EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS, WHETHER IN ARBITRATION OR COURT, SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. IF THE CLASS ACTION WAIVER IS FOUND UNENFORCEABLE FOR ANY REASON, THEN THE ARBITRATION AGREEMENT IN ITS ENTIRETY SHALL BE NULL AND VOID.

15.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes or claims within the scope of that court's jurisdiction. Either party may also seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or other irreparable harm.

15.5 Waiver of Jury Trial

TO THE EXTENT PERMITTED BY LAW, YOU AND DEWEY'S PIZZA EACH WAIVE YOUR RESPECTIVE RIGHTS TO A TRIAL BY JURY WITH RESPECT TO ANY DISPUTE OR CLAIM ARISING UNDER OR RELATED TO THESE TERMS OR OUR SERVICES.

16. Term and Termination

These Terms shall remain in full force and effect for as long as you access or use our Website or services. We reserve the right, in our sole discretion, to:

  • Terminate or suspend your access to our Website or services, with or without notice, for any reason, including but not limited to violation of these Terms;
  • Delete your account and all associated data, subject to our data retention obligations under applicable law;
  • Refuse service to any person or entity for any lawful reason;
  • Discontinue any or all of our services at any time with or without notice.

Upon termination of these Terms for any reason:

  • Your right to use our Website and services will immediately cease;
  • Any outstanding payment obligations shall survive termination;
  • All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, indemnification, and dispute resolution.

You may terminate your account at any time by contacting us at [email protected]. Termination of your account does not relieve you of any obligations incurred prior to termination.

17. Changes to Terms of Service

We reserve the right to modify or replace these Terms at any time at our sole discretion. When we make changes, we will:

  • Update the "Last Updated" date at the top of this page;
  • Post the revised Terms on our Website;
  • Where required by law or where we deem appropriate, notify registered users via email or through a prominent notice on our Website.

Material changes will take effect no sooner than thirty (30) days after they are posted, except for changes addressing new functionality or changes made for legal reasons, which may be effective immediately.

Your continued use of our Website or services after the effective date of any revised Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue your use of our Website and services immediately. We encourage you to review these Terms regularly to stay informed of any updates.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law by a court or arbitrator of competent jurisdiction, such provision shall be eliminated or limited to the minimum extent necessary such that the remaining provisions of these Terms shall continue in full force and effect.

The invalidity or unenforceability of any provision shall not affect any other provision hereof, and these Terms shall be construed as if such invalid or unenforceable provision had never been contained herein, provided that the overall intent and purpose of these Terms is preserved to the greatest extent possible.

If a provision is modified in accordance with this section, the modified provision shall be interpreted to achieve the intent of the original provision to the fullest extent possible under applicable law.

19. Entire Agreement and Waiver

These Terms of Service, together with our Privacy Policy and any other legal notices or agreements published by us on the Website, shall constitute the entire agreement between you and Dewey's Pizza concerning the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Website and our services.

No waiver by Dewey's Pizza of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by Dewey's Pizza to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

20. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempted assignment without such consent shall be null and void. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets. These Terms shall be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns.

21. Force Majeure

Dewey's Pizza shall not be liable to you for any failure or delay in performance of our obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, fire, flood, earthquake, governmental actions, war, terrorism, civil unrest, labor disputes, power outages, internet service disruptions, or failures of third-party suppliers or service providers.

In the event of a force majeure event, we will make reasonable efforts to notify you as soon as practicable and will use commercially reasonable efforts to resume performance as soon as possible.

22. No Third-Party Beneficiaries

These Terms of Service are for the sole and exclusive benefit of you and Dewey's Pizza. Nothing in these Terms, express or implied, is intended to or shall confer upon any other person or entity any legal or equitable right, benefit, or remedy of any nature whatsoever under or by reason of these Terms, unless expressly stated otherwise herein.

23. Electronic Communications

By using our Website and services, you consent to receiving electronic communications from us. These communications may include notices about your account, transactional information, marketing communications (where permitted by applicable law), and information about our services. You agree that any notices, agreements, disclosures, or other communications we send to you electronically will satisfy any legal requirement that such communications be in writing.

If you wish to opt out of marketing communications, you may do so by following the unsubscribe instructions included in our emails or by contacting us directly. Please note that even if you opt out of marketing communications, you will continue to receive transactional and account-related communications.

24. California Consumer Rights

If you are a California resident, you may have additional rights under the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA). For more information about how we collect, use, and share your personal information, and your rights as a California consumer, please review our Privacy Policy. California residents may also contact us directly to exercise their rights under applicable California law.

Nothing in these Terms is intended to limit any rights you may have under applicable California law that cannot be waived by contract, including rights protected under the California Consumer Legal Remedies Act (Civil Code § 1750 et seq.) and other consumer protection statutes.
